Japanese multinational technology giant NEC Corporation has entered into a definitive agreement to acquire American software company CSG Systems International for around USD2.9 billion, with global firms Freshfields advising NEC and Simpson Thacher & Bartlett representing CSG.
Freshfields partners Gordon Palmquist and Noah Carr in Tokyo led the legal team, along with Denny Kwon and Steven Li in the US. Simpson Thacher’s legal advisory group includes partners Anthony Vernace, Fred de Albuquerque and Beth DiSciullo, among others.
The acquisition will be financed through a combination of cash and debt. As part of the transaction, CSG shareholders will receive USD80.70 per share in cash, resulting in a total enterprise value of around USD2.9 billion, including debt.
The deal is expected to be finalsed during the 2026 calendar year, subject to customary closing conditions, including approval from CSG shareholders and required regulatory consents.
